These Terms explain how Zatila works as a service for your restaurant: your trial, your plan and billing, your content and your responsibilities. Please read them with our Privacy Policy.
1. Who we are and this agreement
Zatila is operated by Calode LLC ("Calode", "we", "us"). These Terms of Service ("Terms") are an agreement between Calode and the business that signs up for Zatila ("you", "the customer"). By creating an account, starting a trial or using Zatila, you agree to these Terms. The person who signs up confirms that they can accept them on the business's behalf.
Zatila is a business service for restaurants and food businesses. It is not for personal or household use, and you must be at least 18 to create an account.
2. The service
Zatila gives your kitchen menu guides, recipes, prep tools, a prep board, checklists, food-safety timers, labels, staff alerts and reports on tablets, and gives owners and managers an admin to run their locations ("the Service").
We improve the Service all the time. We may add, change or remove features, and we'll give you reasonable notice before we remove anything you depend on.
3. Your account and your team
- Keep your sign-in details secret and your account information accurate. You're responsible for what happens under your account, including what your staff, managers and paired tablets do.
- Owners choose who has access, and should remove people and tablets that no longer need it.
- Tell us right away at support@zatila.com if you think someone has used your account without permission.
4. Free trial
New accounts get a free trial of 30 days with no card required. During the trial, Zatila setup is limited to 50 menu items. When the trial ends, you need to choose a plan to keep using the Service. If you don't, your tablets keep working for a short grace period and then the account pauses (see section 7). If you choose a plan during the trial, billing starts that day and unused trial days are not carried over.
5. Plans, prices and billing
- Per open location. Plans are priced per open location, per month or per year, as shown on our pricing page when you subscribe. Locations marked coming soon or closed are not charged. Every plan includes unlimited tablets.
- Lemon Squeezy is the merchant of record. Payments are processed by Lemon Squeezy, which sells the subscription to you as the merchant of record. Your purchase is also covered by Lemon Squeezy's own terms, it appears on your card statement, and it collects and pays sales tax, VAT or similar taxes where they apply. We never see or store your full card number.
- Automatic renewal. Subscriptions renew automatically at the end of each monthly or yearly period until cancelled. You authorize the charge for each renewal.
- Location changes. When you open or close locations, we update the number of locations on your subscription. The change shows on your invoices as Lemon Squeezy calculates it.
- Price changes. We may change our prices. We'll tell you at least 30 days before a change affects your subscription, and it applies from your next renewal after that.
- Refunds. Fees are not refundable for partial periods, except where the law requires it or we agree otherwise in writing. If you think a charge is wrong, write to support@zatila.com within 60 days.
6. Cancelling
You can cancel at any time from Billing in your admin. Your subscription stays active until the end of the period you've paid for, and then the account pauses. You can download your data before and after you cancel while the account is paused (see section 7).
7. Failed payments, pausing and deletion
- If a payment fails, we'll email you, and the Service keeps working for a grace period of 14 days while you update your payment details. We never retry a declined card ourselves.
- If the payment is still not made, or a trial ends without a plan, or a subscription ends, the account pauses. While paused, tablets stop working, and owners can still sign in, download their data and restart billing.
- We keep a paused account's data for 90 days. After that we may delete it permanently.
8. Your content
Your recipes, menus, photos, files, checklists, logs and other material you or your team put into Zatila ("Your Content") belong to you. You give us a limited permission to host, copy, process and display Your Content only as needed to provide, secure and support the Service for you, including Zatila setup (section 9). We don't sell Your Content.
You confirm that you have the right to upload Your Content and that it doesn't break the law or anyone else's rights. Each restaurant's data is kept separately from every other customer's. Owners can download a copy of their content from the admin at any time.
9. Zatila setup
Zatila setup reads the files you upload (menus, recipe cards, prep sheets, photos and similar) and prepares a draft of your kitchen content for you to review. To do this, your files are processed by carefully chosen third-party service providers acting for us. Our Privacy Policy names them.
The draft is a starting point. You are responsible for reviewing and approving it, including ingredients, amounts, allergens, cooking and holding temperatures and times, before your team relies on it. Nothing from setup reaches your tablets until you apply it. Setup limits depend on your plan.
10. Food safety is still your kitchen's job
Zatila helps your team follow your own procedures. It does not replace your food-safety plan, trained staff, calibrated thermometers or the rules of your local health authority. You are responsible for the food you prepare and serve, for the procedures and temperatures you set in Zatila, and for meeting the laws that apply to your business. Timers, alerts and reminders depend on working devices, power and settings, so don't rely on them as your only safeguard.
11. Acceptable use
Don't misuse the Service. In particular, don't:
- break the law, or upload content that is unlawful or that you have no right to use;
- try to get into accounts, restaurants or systems that aren't yours, or test our security without our written permission;
- overload, disrupt, copy, resell or reverse engineer the Service, or use bots to scrape it;
- upload malware, or use Zatila to send spam.
We may suspend access that puts the Service, other customers or the public at risk. Where we reasonably can, we'll tell you first and give you a chance to fix the problem.
12. Availability and support
We work hard to keep Zatila running and to back up your data every night, but we can't promise the Service will always be available or free of errors. Tablets keep working offline for many tasks and sync when they reconnect. Support is by email at support@zatila.com.
13. Other services
Zatila relies on other companies, such as our payment provider, hosting, email delivery and setup providers, and you may connect your own tools, such as a Slack or Discord webhook for alerts. Their services are covered by their own terms, and we're not responsible for services we don't control.
14. Disclaimers
To the fullest extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
15. Limitation of liability
To the fullest extent the law allows: neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data; and Calode's total liability arising out of or relating to these Terms or the Service is limited to the amount you paid for the Service in the 12 months before the event that gave rise to the claim. These limits don't apply to your payment obligations or where the law doesn't allow them.
16. Indemnity
You'll defend and compensate Calode against third-party claims that arise from Your Content, the food you prepare and serve, or your breach of these Terms or the law.
17. Ending this agreement
You can stop using Zatila and cancel at any time. We may end or suspend your account if you seriously or repeatedly break these Terms, if we're required to by law, or if we stop offering the Service, in which case we'll give you reasonable notice and a chance to download your data. Sections that by their nature should survive (such as payment, content, disclaimers, liability and indemnity) survive the end of this agreement.
18. Governing law and disputes
These Terms are governed by the laws of the state in which Calode LLC is organized and the federal laws of the United States, without regard to conflict-of-law rules. Before filing a claim, each party agrees to try to resolve the dispute informally by writing to the other and allowing 30 days to settle it.
19. Changes to these Terms
We may update these Terms. If a change is material, we'll tell account owners by email or in the admin at least 30 days before it takes effect. The date at the top shows the latest version. If you keep using Zatila after a change takes effect, the new Terms apply.
